Drop ship agreement

You must of read and agree to the following terms and conditions before you will be able to resell any of our products.

Please ensure that you read this document in its entirety as it contains important information regarding your account and the service that we will provide.

Terms of sale

None of the products sold on elegalhighs.com are suitable for persons under the age of 18.
All patrons must be over the age of 18 years old.
As a reseller you must not make any of our products available to anybody under the age of 18.
All items of smoking paraphanalia are sold for ornamental purposes or for use with legal smoking blends only. As a reseller you should not advertise them as otherwise.
While some of these products are labelled for consumption we also offer some materials which are not for human use. Unless stated and labelled all materials should be considered and marketed as unfit for human consumption.
We describe the use of many of our products. This is for informational purposes only, as we are not prescribing herbs or other products for any specific medical condition or for any specific use. This information should never be interpreted as a recommendation for a specific plan or course of action.
As a reseller you should not prescribe any of our products for any specific medical condition or use and should not market any products for usage as such.
Although we do our best to ensure that all products are kept uptodate, we cannot be held responsible for typographical errors in our catalogue or on elegalhighs.com.
Please check your countries laws before ordering any of our products.
ELH Trading Ltd does not wish to induce anyone to act in conflict with the law, we expressly point out that all persons who purchase anything from our store are responsible for their actions in the future.
As a reseller it is YOUR responsibilty to ensure that all products are legal in the country that your business reside in and also in all of the countries that you are promoting our products for sale in. We can accept no responsibilty in this effect.

Procedure

In order to register for a drop ship account with us you must first register for a customer account on our website and agree to these terms and conditions.
You must then contact us through the contact form on our website with details of your proposed business. A member of staff will then assist you in setting up a drop ship account.
You will be given the opportunity to enter your business details and customise the paperwork sent out with your order online, once you have completed all of the required details we will review your business for compliance.
Once your account has been reviewed and activated by a member of our staff you will be able to log into our website with the account details you gave at registration.
All prices will be immediately reduced to reflect the agreed drop ship discount. You can then list these products on your own site, marking them at the same price or above the Manufactureres retail price (The standard retail price shown on elegalhighs.com)

Please note; To ensure optimum search engine positions for us and for our customer, you must not use the descriptions featured on our website, all descriptions should be sufficientlly unique to be considered as such by search engines.

When you recieve orders, you can then place them through our website at the reduced rate, entering your customers shipping information in the fields provided.
We will ship all products with your customised paperwork.
- All orders are sent out in a discreet manner. We only use plain unbranded packaging. The package itself will include relevent postage and customs data and the return label specified in your account, There will be no indiaction other than this of the orders sender or content.We will not send anything with the order that would suggest that your order has been sent by us. Your customers order will contain the products required and an invoice featuring your companies logo and your business address.

MAP (Minimum Advertised Price)

ELH Trading ltd sets a Minimum Advertised Price on all products for all Online Venders and Dealers. You are expected to advertise our products no lower than 10% less than the MAP.
The MAP price is the standard retail price shown on elegalhighs.com, displayed when not logged into our website.
We retain the right to refuse sale to repeat offending resellers. The MAP is subject to change without notice. This requirement does not apply to resellers that maintain their own inventory of ELH Trading Ltd Products. All products available to drop ship customers are also available at distribution and wholesale levels.
Reductions can be made below the MAP on a promotional basis only with written confirmation from an employee of ELH Trading Ltd (cid:06176541)
Price should not be used as your primary marketing strategy, we will not work with businesses that consistantly undercut our own retail outlets and market on a price basis.

Promotional vehicles

We must be made aware of all domains, mailing lists, stores or other media vehicles used to promote and/or sell our products. Once registered, you can do this easily through the account screens that will be made available to you on our website.
Please ensure that you list all of the vehicles you will be using to promote our products, You are free to use other channels once your account is activated but you must always update this section of our site.
If we find you to be operating outside of channels not listed in your account you will be in direct violation of this agreement and we reserve the right to terminate your account with immediate effect.

Shipping

We normally process and ship orders within 1-2 business days.
All goods are shipped from the UK, Customers are responsible for Import Duty/Tax in their respective countries where applicable. For more details on this please contact your local customs authority.
Shipping will be charged at our standard weight based rates, there is no reduction on shipping for resellers.
If you are just selling legal highs and other light weight products we also have some fixed price delivery options for resellers available upon request.
ELH Trading Ltd are not able to control, or take responsibility for the actions of Customs and Excise. All packaging is discreet and no indication of contents is displayed, however if the items you have ordered are not in line with the laws in the area the products are to be delivered to, you run the risk of customs interfering with the package. We are unable to help you in this situation.

Payment

By purchasing, you agree that all the details you provide to us for the purpose of ordering or purchasing goods or services are correct, that the credit card or bank account you are using is your own and that there are sufficient funds to cover the cost of the goods or services ordered.
All orders must be paid for in full before any goods will be shipped. All products are subject to availability and remain the property of ELH Trading Ltd until paid for in full. All purchases are non-exchangeable, non-refundable and non-transferable.
Payment can be made by credit card, Alertpay or Direct bank tansfer.
Even though you can view the prices of our products in any currency, resellers will be billed for our products in Uk pound sterling only.... all orders will be converted to Uk pound sterling at the final stage of check out.

Back orders and stock availability

We cannot reserve drop ship inventory for any particular reseller; units are sold on a first come, first serve basis.
All goods are offered subject to availability. Specifications and prices may be subject to change without notice
We make every possible effort to maintain adequate stock however we can assume no responsibility for stock shortages or manufacturing delays. We reserve the right to cancel any order and not supply products if it is reasonable to do so and may change or discontinue the availability of products at any time without notice.
If an order is cancelled, any payment made for the Products will be refunded in full. This does not affect your Statutory Rights.

Damages, defects and carrier loss

Any defective, damaged or incorrect orders shipped will be replaced or refunded according to our terms and conditions only if we are notified within 7 days of receiving your order and it is reasonable to do so. Please note that all returns for either unwanted or damaged/faulty goods must be confirmed by ELH Trading Ltd by either phone, fax, post or e-mail. Any goods sent back without prior consent from ELH Trading Ltd will be sent back at your cost.
All returns are the responsibility of the the drop shipper (you) until they reach us.

Confidential Information

During the course of business we may provide you ( the drop shiper ) with confidential information related to our business and the industry we operate in. Such confidential information may include (but is not limited to) inventory levels, product features, pricing, anticipated new products, Supplier sales practices and programs. You must agree that the confidential information will be used solely for the purpose of conducting business with us (ELH Trading Ltd). You must not disclose or distribute any confidential information to any competitor, Supplier or to any other third party without the express written consent of the ELH Trading Ltd.
All images of all products supplied by us, including all of the images used on elegalhighs.com, are the exclusive property of ELH Trading Ltd. You may use these images only in connection with the sale of our products and only in compliance with any policies or terms stated by the us. No other use or distribution is permitted, and you may not use our images in connection with the sale of products from any person or entity other than the ELH Trading Ltd. We retain the right to terminate permission to use these images at any time and for any reason.

Liability

Any disclaimers and exclusions of liability in these terms & conditions shall not apply to any damages arising from death or personal injury caused by the negligence of ELH Trading Ltd or any of its employees or agents or fraud. These disclaimers and exclusions shall be governed by and construed in accordance with Law. If any provisions of these disclaimers and exclusions shall be unlawful, void or for any reason unenforceable then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
There may be legal notices on other areas of this website which relate to your use of this website, services and products, all of which will, together with these terms & conditions govern your use of this website (elegalhighs.com), the products and services provided by ELH Trading ltd.

Termination Clause:

Either party shall have the right to terminate this Agreement upon thirty (30) days prior to written notice to the other party without cause. The Reseller (you), in addition, agrees to remove all product related images and reference given them by ELH Trading Ltd from their site, within the same timeframe shown above.

We reserve the right to modify any of these terms and conditions and will require any drop ship clients to agree to any ammendments. All drop ship customers will be notified prior to any changes.

By agreeing to and inititiating this agreement, you the reseller accept all of our drop ship policies and procedures as stated above.
